Terms and Conditions

Welcome to Coffee & Law. These Terms and Conditions ("Terms") govern your access to and use of the Coffee & Law platform ("Platform", "Service") operated by RBS Responsible Business Solutions GmbH, Hegelgasse 13, 1010 Vienna, Austria, registered with the Commercial Court Vienna (Handelsgericht Wien) under FN 439861f ("RBS", "Company", "we", "us", or "our"), also operating under the brand "AI Solutions for Lawyers".

By accessing or using our Platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Scope and Contracting Parties

1.1 Business Customers Only

The Platform is offered exclusively to entrepreneurs (Unternehmer) within the meaning of § 1 of the Austrian Commercial Code (UGB) — in particular law firms and comparable legal organizations — and not to consumers within the meaning of the Austrian Consumer Protection Act (KSchG). By registering, you confirm that you are acting in the exercise of your business activity and are authorized to act on behalf of your organization.

1.2 Exclusivity of These Terms

These Terms apply exclusively. Conflicting or deviating terms and conditions of the customer shall not apply unless we have expressly agreed to them in writing.

2. Service Description

2.1 Platform Overview

Coffee & Law is an internal networking platform designed exclusively for law firms. The Platform facilitates professional connections between lawyers within the same organization through an automated "coffee roulette" matching system that pairs colleagues for informal meetings to foster cross-practice collaboration and strengthen internal networks.

2.2 Core Features

  • Automated lawyer matching based on office location, practice group, and seniority level
  • Coffee roulette scheduling and coordination
  • Administrative dashboard for firm management
  • Network analytics and relationship tracking

2.3 Service Availability

The Platform is currently provided free of charge and without any guaranteed availability or service levels. We strive to maintain high availability, but interruptions may occur — for example due to maintenance, updates, or circumstances beyond our control. Scheduled maintenance will be communicated in advance where reasonably possible.

3. Account Registration and User Obligations

3.1 Eligibility

The Platform is designed for use by law firms and their employees. By registering, you represent that you are authorized to act on behalf of your organization and that all information provided is accurate and complete.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

To protect the Platform against automated abuse, sign-up and login are protected by a bot protection service (Cloudflare Turnstile). See our Privacy Policy for details on the related data processing.

3.3 Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Platform or its systems
  • Interfere with or disrupt the integrity or performance of the Platform
  • Upload or transmit viruses, malware, or other malicious code
  • Use the Platform to harass, abuse, or harm other users
  • Reverse engineer, decompile, or disassemble any part of the Platform, except to the extent permitted by mandatory law
  • Use automated systems or software to extract data from the Platform, or circumvent the bot protection measures

3.4 Data Accuracy

Firm administrators are responsible for ensuring that lawyer information (names, emails, office locations, practice groups, and seniority levels) uploaded to the Platform is accurate and up-to-date, and that it may lawfully be shared with us for the purposes of the Service.

4. Cost of the Service

Coffee & Law is currently provided free of charge. All Platform features, including coffee roulettes, are available to registered firms at no cost, with no credit card required and no usage fees.

5. Future Pricing Changes

Should we decide to introduce paid plans or fees in the future:

  • We will notify you well in advance — at least 30 days before any paid plan becomes available.
  • You will never be charged unless you expressly choose to subscribe to a paid plan. Your account will not be converted to a paid plan automatically, and continued use of the Platform alone will never result in any payment obligation.
  • If you choose not to subscribe, you will not owe us anything. In that case we may, after reasonable notice, limit or discontinue the free service.

6. Intellectual Property

6.1 Platform Ownership

The Platform, including all software, designs, text, graphics, logos, icons, and other content, is the exclusive property of RBS Responsible Business Solutions GmbH and is protected by the Austrian Copyright Act (UrhG), trademark law, and other intellectual property laws.

6.2 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes.

6.3 User Content

You retain ownership of all data and content you upload to the Platform. By uploading content, you grant us a limited license to use, process, and store such content solely for the purpose of providing the Service.

6.4 Feedback

Any feedback, suggestions, or ideas you provide regarding the Platform may be used by us without obligation to you.

7. Confidentiality and Data Protection

7.1 Confidential Information

We treat all firm and lawyer information as confidential. We will not disclose your data to third parties except as required to provide the Service, comply with legal obligations, or as otherwise permitted under our Privacy Policy.

7.2 Data Processing

Our handling of personal data is described in our Privacy Policy. To the extent we process personal data of your firm's lawyers on your behalf, we act as a processor within the meaning of Art. 28 GDPR, and a data processing agreement is available upon request. Your firm remains responsible for informing its lawyers about the processing and for ensuring a lawful basis for providing their data to us.

7.3 Data Security

We implement appropriate technical and organizational security measures to protect your data. Our hosting providers operate SOC 2 Type II certified infrastructure.

8. Warranty and Liability

8.1 Warranty

The Platform is currently provided free of charge. It is provided "as is" and "as available", without any warranty as to availability, fitness for a particular purpose, or uninterrupted, error-free operation, except where such a disclaimer is inadmissible under mandatory Austrian law.

8.2 Limitation of Liability

We are liable without limitation for damage caused by intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit), and for personal injury (injury to life, body, or health). Liability for slight negligence (leichte Fahrlässigkeit) is excluded, except for personal injury.

To the extent liability is not excluded under the foregoing, liability for indirect damage, consequential damage, loss of profit, loss of data, and mere financial losses (reine Vermögensschäden) is excluded in cases of slight negligence. Mandatory statutory liability, including under the Austrian Product Liability Act (PHG), remains unaffected.

8.3 Your Responsibility for Backups

You are responsible for maintaining your own copies of data you upload to the Platform to the extent such data is business-critical for you.

9. Indemnification

You agree to indemnify and hold harmless RBS Responsible Business Solutions GmbH, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of:

  • Your violation of these Terms
  • Your violation of any third-party rights, including privacy or intellectual property rights
  • Any content you submit to the Platform in breach of these Terms or applicable law

10. Term and Termination

10.1 Termination by You

You may terminate your account at any time, with immediate effect, by contacting us at support@ai-solutions-for-lawyers.com.

10.2 Termination by Us

As the Service is provided free of charge, we may discontinue or terminate the Service or your access to it upon reasonable advance notice. We may suspend or terminate your access with immediate effect for good cause (aus wichtigem Grund), including:

  • Material breach of these Terms
  • Conduct that is harmful to other users or the Platform
  • Upon binding request by competent authorities

10.3 Effect of Termination

Upon termination, your right to use the Platform will immediately cease. We will retain your data for a period consistent with our Privacy Policy and applicable legal requirements, after which it will be securely deleted.

10.4 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Modifications to Terms

We may modify these Terms with effect for the future. We will notify registered firm administrators of material changes at least 30 days before they take effect (e.g., by email or notice within the Platform) and update the "Last updated" date. If you do not agree with a change, you may terminate your account free of charge before the change takes effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. Changes will never introduce a payment obligation — payment always requires your express subscription as described in Section 5.

12. Governing Law and Jurisdiction

12.1 Governing Law

These Terms and all disputes arising out of or in connection with them or the use of the Platform shall be governed by Austrian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).

12.2 Jurisdiction

The exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms or the Service is the court with subject-matter jurisdiction for the first district of Vienna, Austria (Wien, Innere Stadt).

12.3 Amicable Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. Either party may propose mediation as an alternative to litigation.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and RBS Responsible Business Solutions GmbH regarding the Platform.

13.2 Severability

If any provision of these Terms is or becomes invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid one.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms to a legal successor or affiliated company.

13.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or failures of public infrastructure.

13.6 Contract Language

The contract language is English.
